The following are the terms and conditions for use of the Droptor website service ("Service"), a product of 62 Cents Software, LLC ("62 Cents"). Please read them carefully before using the Service.
BY USING THE SERVICE, YOU (the terms "you" or "yours" includes the person or entity that is registered with the Service as well as any third parties accessing the Service on your behalf) ARE STATING THAT YOU AGREE TO BE BOUND BY ALL OF THESE TERMS AND CONDITIONS OF THE SERVICE ("Agreement"). The Service is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein.
You are responsible for maintaining the security of your account and password. 62 Cents cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
You may not use the Service for any illegal or unauthorized purpose. You must not, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).
Members of the support team may access your Droptor account in response to a support ticket filed.
You are free to cancel anytime, for any reason. If you don't like our service, we don't want your money. Seriously. We will refund your last month's bill without question.
The only accepted method for canceling your account is via the Service account settings. An email or phone request to cancel your account is not considered cancellation. You can cancel your account at any time when you are logged into your Service account by going to your account settings and using the cancellation link.
All of your Content will be immediately deleted from the Service upon cancellation. This information cannot be recovered once your account is cancelled.
62 Cents, in its sole discretion, has the right to suspend or terminate your account and refuse any and all current or future use of the Service, or any other 62 Cents service, for any reason at any time. Such termination of the Service will result in the deactivation or deletion of your Account or your access to your Account, and the forfeiture and relinquishment of all Content in your Account. 62 Cents reserves the right to refuse service to anyone for any reason at any time.
If you cancel the Service before the end of your current paid up month, your cancellation will take effect immediately and you will not be charged again.
62 Cents reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice.
Prices of all Services, including but not limited to monthly subscription plan fees to the Service, are subject to change upon 30 days notice from us. Such notice may be provided at any time by posting the changes to the Service Site (www.scoutapp.com) or the Service itself.
62 Cents shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.
You have the exclusive right to use all data derived by your use of the Service, including reports, and graphs, for any purpose related to your organization and you shall retain ownership of all confidential information and statistics relating to your servers and applications, such as raw data and log files generated by the Service (collectively, "Client Data").
Notwithstanding the foregoing, in connection with the provision of the Service, 62 Cents: (i) may collect certain non-personally identifiable information about users of your website and (ii) may aggregate data derived from your use of the Service to compile aggregate statistics, metrics and general trend data about the Service for marketing and promotional purposes. For the avoidance of doubt, any data collected, compiled, generated or used in the foregoing manner by 62 Cents shall not constitute "Client Data."
You agree to indemnify, hold harmless and defend 62 Cents, at your expense, against any and all third party claims, actions, proceedings, and suits brought against 62 Cents or any of its officers, directors, employees, agents or affiliates, and all related liabilities, damages, settlements, penalties, fines, costs or expenses (including, without limitation, reasonable attorneys' fees) incurred by 62 Cents or any of its officers, directors, employees, agents or affiliates, arising out of or relating to (i) your breach of any term or condition of this Agreement or (ii) your use of the Service. In such a case, 62 Cents will provide you with written notice of such claim, suit or action. You shall cooperate as fully as reasonably required in the defense of any claim. 62 Cents reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you.
